Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using CompetitorCue (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. The Service is operated by Shipyard Labs LLC (“we”, “us”, or “our”), a Delaware limited liability company.

2. Eligibility & Account

You must be at least 18 years old and legally able to enter a contract in your jurisdiction. You agree to provide accurate information at signup and to keep your account credentials secure. You are responsible for activity that occurs under your account. Signup and session management are provided through better-auth; the authentication provider may transmit only the data necessary to validate your session.

3. Acceptable Use

You agree not to: (a) scrape, crawl, or mirror the Service except as enabled by our published interfaces; (b) interfere with, reverse-engineer, or attempt to access the Service in unauthorized ways; (c) use the Service to harass, defraud, or harm others; (d) resell, sublicense, or redistribute the Service or any data derived from it without our written permission; or (e) upload content that infringes a third party’s rights.

4. Subscriptions & Billing

Paid plans are billed through Stripe-hosted checkout. We do not store full payment card numbers; Stripe processes payment details on our behalf under their own terms and privacy practices. Subscription amounts are computed server-side from your plan selection, never from browser input.

Refunds. Because our plans are usage-based recurring services, fees are non-refundable except where required by law or where we elect, at our discretion, to issue a goodwill refund on a case-by-case basis. Contact us at the address below to request a review.

5. Intellectual Property

The Service, including its branding, design, code, and aggregated datasets, is owned by Shipyard Labs LLC and protected by intellectual-property law. You retain ownership of the data you upload (“User Content”). We retain ownership of the Service itself and any derivative works, models, and analytics generated from your use.

6. User Content

You grant us a non-exclusive, worldwide license to host, process, transmit, and display your User Content solely as needed to operate the Service you signed up for (for example, to scrape your configured competitor pages and deliver alerts). You represent that you have the right to provide any User Content you submit and that its provision does not violate any law or third-party right.

7. Confidentiality

Each party will protect the other’s non-public business, technical, and customer information with the same standard of care it uses for its own confidential information, and not less than reasonable care, and will use such information only to perform under these Terms.

8. Third-Party Services

The Service relies on third-party providers to operate, including Stripe for payment processing and better-auth for authentication. These providers receive only the data necessary to deliver their function. Their use of that data is governed by their own terms and privacy policies, which we encourage you to review.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of outputs. We do not warrant that the Service will be uninterrupted, error-free, or that competitor-insights produced by the Service are complete or accurate.

10. Limitation of Liability

To the maximum extent permitted by law, Shipyard Labs LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any lost profits or revenues, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the fees you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You will indemnify and hold Shipyard Labs LLC and its officers, members, and agents harmless from any third-party claim arising out of (a) your User Content, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.

12. Termination

You may stop using the Service at any time by canceling your subscription from your account settings. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if we discontinue the Service. On termination, your right to use the Service ends; provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you consent to that jurisdiction and venue.

14. Changes to These Terms

We may update these Terms from time to time. The effective date above reflects the current version. For material changes we will give reasonable notice (for example, by emailing account holders or posting a notice in-app). Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
